Client Responsibilities

As a client, you agree to:

• Provide accurate and complete information for your project
• Provide necessary content, images, and materials in a timely manner
• Review deliverables and provide feedback within agreed timeframes
• Make timely payments as outlined in project agreements
• Ensure you have rights to any content you provide
• Test deliverables and report issues promptly

Payment Terms

Payment terms will be specified in individual project agreements. Generally:

• 50% deposit required to begin work
• 50% final payment upon project completion
• Payment methods: Bank transfer, PayPal, or other agreed methods
• Late payments may incur interest charges
• Work may be paused for non-payment

Project Timeline and Delivery

Project timelines are estimates based on current requirements:

• Timelines may change based on client feedback and revisions
• Delays caused by client will extend project timeline
• We will communicate any timeline changes promptly
• Rush projects may incur additional fees

Intellectual Property Rights

Client Ownership: Upon full payment, clients own the final website code and design, except for:

• Third-party plugins and libraries
• DevMorph's proprietary frameworks and tools
• Stock photos and assets with separate licenses

DevMorph Rights: We reserve the right to:

• Display completed projects in our portfolio
• Use project methodologies for other clients
• Reuse non-proprietary code components

Confidentiality

Both parties agree to keep confidential any proprietary information shared during the project. This includes business plans, technical specifications, and any other sensitive information.

Website Content and Responsibility

Clients are responsible for all website content including:

• Text, images, and media files
• Product descriptions and pricing
• Legal compliance of content
• Copyright and trademark compliance

DevMorph is not responsible for content accuracy or legality.

Warranty and Support

We provide the following warranties:

• 30-day bug fix warranty for custom code
• 90-day technical support for training issues
• Code will be functional as specified in requirements

Warranty does not cover issues caused by third-party services, client modifications, or browser updates.

Limitation of Liability

DevMorph shall not be liable for any indirect, incidental, special, or consequential damages resulting from your use of our Services. Our total liability shall not exceed the amount paid for the specific service in question.

Termination

Either party may terminate the agreement with:

• 30 days written notice for convenience
• Immediate notice for material breach
• Client will pay for work completed up to termination
• DevMorph will deliver completed work upon final payment

Website Use Terms

When using our website, you agree not to:

• Use automated systems to access the site
• Attempt to gain unauthorized access
• Post malicious or harmful content
• Violate any applicable laws
• Infringe on intellectual property rights

Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiation. If unresolved, disputes may be resolved through mediation or arbitration as agreed by both parties.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where DevMorph operates, without regard to conflict of law provisions.

Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of our Services constitutes acceptance of any changes.
